At Shopping Dough, it is our goal that every customers experience is a successful and satisfying one. The following Activation Instructions and Terms of Use ("Terms") constitute a contract between you (hereafter referred to as "you", "member" or "customer") and the Shopping Dough program, their owners, affiliates, agents, administrators, and assigns (also referred to as "we", "Shopping Dough", "Shopping Card" or "company"). Your activation of your Shopping Card Code, as defined herein, signifies your complete understanding and acceptance of these Activation Instructions and Terms of Use. If you have any questions regarding these terms, please contact Shopping Dough Customer Support. We will be happy to assist you.

These Promotional Gift Cards are given by Shopping Dough marketing partners for free; these may be distributed as "free with purchase" promotions, as a reward, an incentive or as part of a marketing program or other promotion. These cards are subject to expiry as noted on the front of the card, so please use them promptly.

The gift cards are offered solely as a Promotional Gift and are not valid for use by the employees or family members of the company or person involved in distributing these promotional gift cards. Bearer may not be charged any fees to receive these promotional cards.

1. Overview. Shopping Cards are promotional rewards. Your Shopping Card reward entitles you to a discount off of online purchases at designated websites. Shopping Dough is an online rewards administration and distribution program, where you activate your Gift Card code that was provided to you via either a printed Gift Card and/or digital PIN ("Gift Card Code"), review your reward options and terms, and Shopping Dough delivers the reward you've selected to you via email, along with detailed instructions on redemption. You then redeem the delivered reward you selected at the website of the administrator/provider of the program, subject to their terms, and select your Shopping Cards. Your Shopping Card Codes are then delivered to you via email, along with links to the online stores where they can be redeemed.

2. Online Registration & Reward Redemption Process. To redeem your Shopping Dough Gift Card you will need a unique Card Code given to you by a third party. You must fully complete your online registration at www.ShoppingDough.com. Your Shopping Card Code can be entered on the www.ShoppingDough.com website only, where you must complete your online registration. This includes (1) entering a valid ShoppingDough.com Gift Card Code, (2) submitting all the data requested, (3) confirming that you have read, understand, and agree to the terms of the reward you have selected and the terms of Shopping Dough, and (4) finalizing your selection activation ("Successful Activation"). Shopping Dough has no obligation to honor your reward unless your registration qualifies as a Successful Activation. Upon a Successful Activation, Shopping Dough will email you an activation confirmation email, with instructions on how to claim your reward and select your Shopping Card(s) right away (typically within 4-6 minutes). Instructions on our website, in fulfillment emails, etc. are incorporated herein as terms. Your selected Shopping Card Code is applied toward the purchase(s) made on those designated online shopping websites only. Your Shopping Card reward may be applied towards the cost of any product(s) found on those websites. Shipping, handling, and processing fees do apply, unless otherwise noted. Your Shopping Card credit may be applied towards shipping and handling fees and any applicable taxes as well. You are responsible for any balanced due after your Shopping Card credit is applied, which you may pay (finalize) with credit card or debit card. Any charge to your debit card or credit card is processed by the online website applying your Shopping Card Code. Shopping Dough is not the recipient, processor, beneficiary, or custodian of any of your financial information and disclaims any and all liability related thereto. All prices, transactions, and values are in U.S. Dollars. Similarly, any product return(s) are processed by and the responsibility of the online website from which you made your purchase, and are not the responsibility of Shopping Dough. Their return policy, and terms and conditions shall apply to your purchase(s).

3. One Redemption. Each Shopping Card Code is redeemable only once, and only by the person to whom it was issued. The recipient/user must be 18 years of age or older to redeem a Shopping Card Code. Only one Shopping Card Code may be applied per transaction. Shopping Card Codes may not be combined with other Shopping Card Codes, or with other offers, incentives, discounts, or deals.

4. Expiration. Shopping Card Codes may have an expiration date which is noted on the Shopping Dough Gift Card, or Shopping Dough Gift Card email, and may be activated and redeemed whenever it is convenient for you until that date.

5. Accurate Information. You must provide true and valid information to us in order to redeem your ShoppingDough.com Gift Card Code(s). Untrue and invalid information, including using a name, address, telephone number, or email address that is not yours, will result in de-activation of the applicable Shopping Dough Gift Card code. All duplicate Shopping Dough Gift Card codes will be terminated. Shopping Dough is not responsible for any recipient/user errors made during the online purchase process, including mis-applying, non-applying, or under-applying a Shopping Card Code.

6. Online Program Only. You understand that Shopping Dough is an online program and only provides for online redemption and online customer service. Shopping Dough also offers telephone-based customer service.

7. Reward Status. Shopping Card Codes may not be redeemed directly in stores or for online purchases other than at the specific websites for which the Shopping Card Codes apply. Shopping Card Codes have no cash value, may not be redeemed directly in stores, and cannot be cashed in for cash, check, or credit. Shopping Card Codes are not credit cards, debit cards, and have no warranties, whether express or implied, other than the specific benefit(s) outlined herein. Shopping Card Codes may not be sold or re-sold. Any attempt to sell or re-sell your ShoppingDough.com Gift Card, and/or your Shopping Card Code(s) shall result in immediate de-activation of your Code(s).

8. $50.00, $75.00, and $100.00 Shopping Card Codes. $50.00, $75.00, and $100.00 ShoppingDough.com Gift Card Codes must be sub-divided into separate $25.00 denominations for different participating online retailers. A $50.00 Shopping Card must be divided into two (2) $25.00 Shopping Cards, from two (2) different participating online retailers. A $75.00 Shopping Card must be divided into three (3) $25.00 Shopping Cards, from three (3) different participating online retailers. A $100.00 Shopping Card must be divided into four (4) $25.00 Shopping Cards, from four (4) different participating online retailers. Some of the participating retailers offer a $50 Shopping Card, which you can also select.

9. Free & Voluntary Program.Shopping Dough is a free program. Your participation in the Shopping Dough program and/or use of the Shopping Dough website is entirely voluntary. You did not purchase your ShoppingDough.com Gift Card Code. Shopping Dough did not charge you anything for your Shopping Card Code. Shopping Dough is a voluntary program. De-activation, malfunction, misuse, or lack of redemption of any Shopping Card Code does not entitle you to any refund, credit, claim, compensation, or legal recourse or redress of any kind.

10. Non-Affiliation with Administrator/Provider of Rewards.Shopping Card Codes are reward registration codes that give you access to select a consumer reward. Shopping Card Code are consumer rewards. Shopping Cards and their use are also subject to the terms and conditions and privacy policies, where applicable, set by the online merchants, as posted on the respective websites. The terms and conditions provided by those merchants are the responsibility of those merchants and not of Shopping Dough. For further details, please review the terms provided on each merchant stores website.

11. Non-Affiliation with Marketer. You understand that Shopping Dough is not affiliated with the organization or person(s) that provided you your ShoppingDough.com Gift Card Code, or with any program that organization may have sold to you. Shopping Dough is not responsible for anything that any third party organization or person may have told you or promised you about Shopping Dough or about your Shopping Card Code. Shopping Dough has not billed/charged you and will never bill/charge you. You did not purchase your Shopping Card Code. You cannot cancel any program which you may have accepted, on a trial or ongoing basis, return any product, complain about any program or product, get a refund, or cancel any billing you are incurring, by contacting Shopping Dough, as Shopping Dough has nothing to do with those programs or products. Shopping Dough does not provide customer service for those programs, and cannot contact them on your behalf. If you were promised a Reward Code from a third party and did not receive it, you will need to contact that third party directly, as Shopping Dough did not give you your Shopping Card Code, and Shopping Dough does not provide Shopping Card Code directly to customers.

12. Security. For security purposes, Shopping Dough records the computer IP address and redemption activity for every redemption and attempted redemption. Attempts to redeem the same code more than once, attempts to redeem multiple codes, or attempts to redeem a code not issued directly to you are prohibited and may result in de-activation of your Shopping Card Code and referral to our fraud department and possibly to the legal authorities.

13. Substitution.Shopping Dough reserves the sole and exclusive right to substitute any consumer reward with a similar item that is deemed to be of equal value by Shopping Dough, and at the sole discretion of Shopping Dough.

14. Complaints and Concerns.Shopping Dough has extensive Customer Support tools designed to insure that your experience is a successful and satisfying one, and Shopping Dough Customer Support is available 24 hours a day, through the Support tools on the Shopping Dough website to assist you ("How it works" and "FAQ"). You agree that, should you have any complaint, concern, issue, malfunction, question, or problem regarding your Shopping Card Code, that you will first contact Shopping Dough Customer Service to resolve the issue. You agree that submitting a complaint regarding Shopping Dough to a commercial entity, a regulatory entity, or a governmental entity may cause irreparable and/or permanent harm to Shopping Dough. You agree and acknowledge that submitting a complaint regarding Shopping Dough to a commercial entity, a regulatory entity, or a governmental entity which (a) is false, (b) is misleading, or (c) was made without giving Shopping Dough an opportunity to address any issue may entitle Shopping Dough to seek damages against you. You understand and acknowledge that Shopping Dough will defend itself and assert its damages to the maximum extent permissible by the law.

15. Disclaimer. UNDER NO CIRCUMSTANCES SHALL THE COMPANY, ADVERTISERS, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR COINCIDENTAL DAMAGES THAT RESULT FROM, OR ARISE OUT OF THE USE OF THE ABILITY OR INABILITY TO USE THIS VOUCHER OR OFFER RELATED TO THIS VOUCHER OR INABILITY TO USE PRODUCT RELATED TO THIS VOUCHER OR ANY SERVICES OR PRODUCTS RECEIVED THROUGH OUR COMPANY. THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE OR STRICT LIABILITY OR ANY OTHER BASIS, EVEN IF THE COMPANY, ADVERTISERS AND/OR ITS LICENSORS, HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR COINCIDENTAL DAMAGES, THE COMPANY, ADVERTISERS OR ITS RESPECTIVE LICENSOR LIABILITY IN SUCH JURISDICTION SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW OR BY YOUR JURISDICTION.

16. No Warranty. This Site is provided on an "as is" and "as available" basis with no warranties whatsoever. SHOPPING DOUGH MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO USE OF THIS SITE OR ANY OF THE BENEFITS, PRODUCTS OR SERVICES OR RELATED INFORMATION PROVIDED TO YOU FROM SHOPPING DOUGH OR FROM OUR PARTICIPATING VENDORS. Shopping Dough DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE BENEFITS, PRODUCTS, SERVICES AND MATERIALS FROM THIS SITE OR THE PARTICIPATING VENDORS IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. FURTHER, PLEASE NOTE THAT NO ADVICE OR INFORMATION, OBTAINED BY YOU FROM THIS SITE OR OUR PARTICIPATING VENDORS SHALL CREATE ANY WARRANTY NOT EXPRESSLY PROVIDED FOR IN THIS AGREEMENT.

17. Limitation on Liability. UNDER NO CIRCUMSTANCES SHALL OUR LIABILITY TO YOU EXCEED THE ACTUAL ADMINISTRATOR/PROVIDER WHOLESALE COST TO SHOPPING DOUGH TO REPLACE THE REWARD YOU SELECTED. UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL WE BE LIABLE TO YOU OR A THIRD PARTY FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, THIRD PARTY OR CONSEQUENTIAL, EVEN IF SHOPPING DOUGH WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE FOREGOING LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. THE SHOPPING DOUGH PARTIES DISCLAIM ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE SITE. THE Shopping Dough PARTIES DO NOT WARRANT THAT THE SITE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SITE WILL BE UNINTERRUPTED AND ERROR FREE. YOU UNDERSTAND AND AGREE THAT YOU USE THE SITE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE USE OF THE SITE.

18. Third Party Links. The Site may contain links to other web sites. Shopping Dough does not control such other web sites and is not responsible or liable for the availability thereof or the products, services or other materials contained on such web sites. Shopping Dough shall not be responsible or liable, directly or indirectly, for any damage or loss incurred or suffered by any user in connection therewith. Your access and use of linked web sites, including the products, services and materials therein, is solely at your own risk.

19. Intellectual Property. You hereby agree and acknowledge that Shopping Dough owns all right, title and interest in and to this Site, including, without limitation, all Intellectual Property Rights. "Intellectual Property Rights" means any and all rights under patent law, copyright law, trade secret law, trademark law, and any and all other proprietary rights. You acknowledge that all marks that appear throughout the Site belong to Shopping Dough, or the respective owners of such marks, and are protected by applicable trademark and copyright laws. Any use of any of the marks appearing throughout the Site without the express written consent of Shopping Dough or the owner of the mark, as appropriate, is prohibited.

20. Governing Law. Governing law for these Terms and the Shopping Dough reward program shall be the law of the State of Florida. The courts of the State of Florida, Pinellas County, shall have exclusive venue and jurisdiction over any claims brought under these Terms.

21. Modification of Terms.Shopping Dough reserves the right, in its sole discretion, to update or modify these Terms at any time, without individual notice to you, and advises you that regular edits are made to improve the performance of the program for members. Your continued use of the Site following the posting of any changes to these Terms, and/or your continued transmission or receipts and vouchers to Shopping Dough following modification of these Terms constitutes acceptance of those changes. You are advised to review these rules prior to your redemption.

22. Indemnification. You agree to defend, indemnify and hold harmless the company, its advertisers, licensors, subsidiaries and other affiliated companies, their employers, employees contractors, agents and directors from all liability, claims and expenses, including any attorney fees that may arise from the use of this voucher or related products. The company reserves the right at its own expense to assume the exclusive defense and control of any matter, otherwise subject to indemnification by you, in which event you shall cooperate with the company in asserting any available defenses.

23. Privacy. Shopping Dough does not market, does not send promotional emails, and does not sell member data. Shopping Dough may collect information before or after you redeem a Shopping Dough PIN. When you visit the Sites, you may provide to Shopping Dough what is generally called "personally identifiable" information (such as your name, email address, postal mailing address, and home/mobile telephone number, etc.). In addition, you may have the option of providing us with certain demographic information about yourself (such as age, gender, household compensation, interests, zip code, and state). "Cookies" Information: When you visit Shopping Dough, we may send one or more cookies - a small text file containing a string of alphanumeric characters - to your computer. Shopping Dough uses both session cookies and persistent cookies. A persistent cookie remains after you close your browser and may be used by your browser on subsequent visits to the Sites. These persistent cookies can be removed, but each web browser is different. So, please review your browser "Help" file to learn the correct way to modify your cookies setup. We do not link the information we store in cookies to any personally identifiable information you submit while on our site. Shopping Dough uses commercially reasonable physical, managerial, and technical safeguards to preserve the integrity and security of your personal information. WE CANNOT, HOWEVER, ENSURE OR WARRANT THE SECURITY OF ANY INFORMATION YOU TRANSMIT TO Shopping Dough, AND YOU DO SO AT YOUR OWN RISK. 24. Entire Agreement. You agree that these Terms constitute the entire agreement and understanding between you and Shopping Dough and that, should any of these terms be stricken or voided by any court, those terms shall be severable and the remaining terms shall remain in effect.

25. Headings. Section titles in the Terms and Conditions are for convenience and do not define, limit, or extend any provision of the Terms and Conditions.

You certify that you own all intellectual property rights in Your Content.
